Who You Are

You are a Contracts and Legal Administration Manager who supports Inovalon's Legal Department through a blend of hands-on contract drafting, review, negotiation, and legal administration. You work with a high degree of independence to manage routine contracts and amendments, support attorneys on more complex matters, and help maintain an efficient, well-organized contracting function. In this hybrid role based at our corporate headquarters in Bowie, Maryland, you contribute directly to business operations by helping the company manage contractual obligations, legal risk, and internal processes with consistency and care.

What You'll Do

  • Draft first versions of agreements, amendments, addenda, statements of work, order forms, and other contractual documents for attorney review, preparing substantive drafts that require limited revision.

  • Negotiate standard and moderately complex contract terms within established company positions, working directly with counterparties and escalating material legal, regulatory, financial, or business risks to counsel.

  • Review contracts and supporting documents, prepare summaries, issue lists, comparison documents, and negotiation notes, and highlight open items for attorneys and business leaders.

  • Partner with attorneys on complex transactions by conducting initial reviews, revising drafts, developing proposed responses to counterparty comments, and helping drive matters toward resolution.

  • Collaborate with business stakeholders to gather information, confirm business terms, and resolve routine questions needed to prepare, revise, and finalize contract documents.

  • Manage contract retention and storage processes, ensuring executed agreements and related records are accurately captured, organized, and accessible in contract management systems and repositories.

  • Coordinate renewal, expiration, amendment, and termination processes by tracking deadlines, gathering relevant information, and supporting timely decisions with attorneys and business partners.

  • Research existing agreements to identify governing terms, amendments, obligations, and restrictions in response to attorney and business requests.

  • Prepare redlines, comparisons, execution copies, signature packages, and related documentation, and support the maintenance of templates, forms, playbooks, and other Legal Department materials.

What You'll Need

  • 8+ years of prior experience in contracts management, contract administration, legal operations, paralegal work, or a similar role within a corporate legal department or comparable environment required.

  • [CONFIRM: education requirement] or equivalent combination of education and experience required.

  • Experience reviewing and preparing routine commercial contracts and related documents.

  • Strong organizational skills, with the ability to manage a significant volume of contracts and competing priorities with minimal supervision.

  • Meticulous attention to detail, strong analytical thinking, and problem-solving skills.

  • Ability to prioritize multiple assignments, work under pressure, meet deadlines, and support accelerated internal business partner and customer timelines.

  • Ability and willingness to perform both substantive contract work and hands-on administrative tasks as a regular part of the role.

  • Excellent written and verbal communication skills, including in remote settings and with senior executives.

  • Proficiency with Microsoft Office, including Word, Excel, and PowerPoint, and experience with contract lifecycle management, electronic signature, document management, or similar systems such as Salesforce, DocuSign CLM, or comparable applications.

  • Ability to work productively both independently and as part of a team, with a positive professional demeanor.

  • Demonstrate growth potential and learning agility by building knowledge of legal processes, business needs, and contracting practices, and applying that learning to improve work quality and efficiency.

  • Show leadership by influencing stakeholders, collaborating effectively with attorneys and business partners, and navigating differing priorities with sound judgment and professionalism.

  • Adapt to changing business needs, shifting deadlines, evolving contract requirements, and ambiguity while staying focused on timely, accurate execution.

  • Apply creative thinking to improve workflows, organize contract operations, and develop practical solutions that support an efficient legal function.

  • Use analytical skills to review agreements carefully, identify key risks and obligations, and synthesize complex information into clear, actionable guidance.

  • Nice to have: experience in the healthcare industry, including familiarity with healthcare contracting.

  • Nice to have: availability to work in a hybrid model based at Inovalon's corporate headquarters in Bowie, Maryland, with an onsite expectation of two days per week on Tuesdays and Wednesdays, and additional in-office presence as needed based on business needs.
