We are looking for an experienced Corporate Securities Paralegal to join us at Progyny. In this role, you will support the Company's corporate governance, securities compliance, and public company reporting obligations. You will work closely with the Legal, Finance, Executive, and Investor Relations teams to help ensure compliance with SEC regulations and corporate governance requirements.

The Corporate Securities Paralegal will play a key role in coordinating SEC filings, maintaining corporate records, supporting Board and Committee activities, managing insider trading compliance, and assisting with corporate transactions and other legal matters.

What You'll Do...

  • Support the preparation, review, and filing of SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other required securities filings
  • Maintain SEC filing calendars and coordinate information gathering across internal stakeholders
  • Assist in the administration of insider trading compliance programs, including pre-clearance processes, blackout periods, and tracking of Section 16 reporting obligations
  • Maintain corporate records, minute books, governance documents, and subsidiary records
  • Support Board of Directors and Committee meetings, including preparing materials, agendas, resolutions, minutes, and maintaining governance documentation
  • Assist with annual shareholder meetings and proxy statement preparation
  • Coordinate with outside counsel, auditors, transfer agents, and other external advisors on securities and governance matters
  • Monitor developments in securities laws, SEC regulations, stock exchange requirements, and corporate governance best practices
  • Assist with due diligence and document management for corporate transactions, including mergers, acquisitions, financings, and strategic initiatives
  • Support contract administration and legal operations processes as needed
  • Help develop, refine, and maintain policies and procedures related to securities compliance and corporate governance
  • Collaborate cross-functionally with Legal, Finance, HR, Executive Leadership, and Investor Relations teams

About You...

  • Bachelor's degree required; Paralegal Certificate required
  • Minimum of 3-5 years of experience supporting corporate securities, public company compliance, corporate governance, or related legal functions
  • Experience with independently drafting and submitting SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reporting
  • Strong understanding of public company reporting requirements, corporate governance practices, and securities law compliance
  • Experience maintaining corporate records, minute books, and governance documentation
  • Familiarity with stock administration platforms, SEC filing systems, and corporate governance tools is preferred
  • Experience supporting Board and Committee meetings and preparing governance materials
  • Healthcare industry experience is a plus

In compliance with New York City's Wage Transparency Law, the annual salary [wage] range for NYC-based applicants is: $80,000 - $100,000. There are a variety of factors that go into determining a salary range, including but not limited to external market benchmark data, geographic location, and years of experience sought/required. Progyny offers a total compensation package comprised of base salary, cash bonus, and equity.
