The Deputy Legal Counsel is responsible for supporting the Chief Legal Counsel in providing legal support to all areas of Nicolet. This position reports directly to the Chief Legal Counsel.
As a Deputy Legal Counsel, you will:


  • Business Line Support: Supports Nicolet's lines of business by providing research, analysis, and general advice about, by way of example only, consumer
  • and commercial deposit products, consumer and commercial loan products, wealth services, operations, compliance, and front-line services.
  • Human Resources Department Support:

    • Maintains knowledge of trends in employment legislation and provides legal advice and direction in employment law to assure compliance.
    • Supports Nicolet's Human Resources Department by providing targeted advice on terminations, disciplinary actions, and other employee-related matters.
    • Reviews and provides guidance on employment agreements, including non-compete and non-solicitation provisions.
    • Advises on enforcement matters with state and federal agencies.


  • Special Assets Support: Supports Nicolet's Special Assets Department, as necessary, in resolving troubled or special asset concerns, including such things as default letters, simple real estate foreclosures and legal actions, FNMA and FHLB collection process, mediations, agricultural banking and forbearance agreements.
  • Contract Review: Assists with drafting, review, and negotiation of vendor-related documentation.
  • Litigation:

    • Assists in managing litigation matters involving Nicolet, including retention and oversight of outside counsel, strategic decision-making, and reporting to business lines and executive management.
    • Assists with receipt and response to legal service of process, including lawsuits, levies, garnishments, and regulatory complaints.
    • Manages and maintains outside counsel relationships and an approved counsel list.


  • Compliance Support:

    • Assists in the creation and delivery of legal training to employees and, if necessary, the Board of Directors.
    • Interacts with regulators and auditors on legal issues.
    • Provides strategic direction on legal and regulatory matters, including emerging risks and industry best practices.
    • Responds to correspondence from customers asserting complaints or challenges to Nicolet's services.


  • Risk Management Support:

    • Monitors case-law and industry-standards to advise Chief Legal Counsel and executive leaders of upcoming risks and trends.
    • Provides advice to all areas of Nicolet, with a particular focus on managing legal risk.
    • Assists in maintaining a compliant records management system.
    • Assists in identifying, investigating, and mitigating fraudulent transactions.


  • General:

    • Upholds Nicolet's philosophy and policies by maintaining appropriate controls to ensure full compliance with applicable laws and regulations, thereby fulfilling legal responsibilities and enhancing the quality of services provided by Nicolet.

Qualifications:


  • Juris Doctorate degree from an accredited law school or equivalent.
  • 5 years of general practice experience required.
  • Employment law - terminations, severance, FMLA, ADA, EEOC complaints experience is preferred.
  • Knowledge of UCC - specifically Articles 3, 4, 4A and 9 preferred.
  • Experience in dealing with commercial loan documentation, contract review and negotiations and litigation required.
  • Knowledge of bank operations and regulatory experience preferred.
  • A current active license to practice law in good standing within the Nicolet footprint required.
  • Banking or financial experience is preferred.
  • Knowledge and application of banking laws, rules, regulations, prescribed practices, and ethical standards that are applicable to their position, including internal controls in the performance of their assigned job duties.
  • Effectively interacts with internal and external customers in a wide variety of situations.
  • Willingly takes ownership of customer experiences and strives to make the experience unique without over-extending resources.
  • Responds appropriately to difficult situations and provides above average service.
  • Provides recommendations and solutions in a genuine, confident manner.
