Overview

We are seeking a mid-level associate with 4 to 6 years of law firm experience to join our Fund Formation practice in one of the offices listed above. This is a partnership-track position offering significant client responsibility, mentorship from experienced partners, and exposure to a sophisticated and varied deal pipeline. The associate will manage sponsor-side and investor-side engagements, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription documents, side letters, and advisory committee governance documents, as well as advising on regulatory and compliance matters.

We primarily advise venture capital, growth equity, impact, and crossover fund managers - from established platforms to first-time emerging managers - on fund formation, regulatory compliance, secondary transactions, co-investment vehicles, and capital deployment across the innovation ecosystem. We also represent governmental pension plans, insurance companies, sovereign wealth funds, and other institutional limited partners in their fund commitments and co-investment activity. Responsibilities

Experience representing both fund sponsors and institutional investors (limited partners) is strongly preferred. Familiarity with venture capital and growth equity funds, emerging manager platform dynamics, SEC and state regulatory frameworks for private fund advisers, and co-investment and secondary fund structures will distinguish top candidates. Strong interpersonal skills and client relationship-building ability are essential.


Qualifications

Candidates must possess a J.D. from an accredited law school, 4 to 6 years of law firm experience in private fund formation and investment management, and active bar membership (or eligibility for prompt admission) in the state of practice. Excellent academic credentials, strong written and verbal communication skills, and the ability to manage multiple workstreams independently are required.

Compensation and Benefits

The expected salary range for this position is between $310,000 and $390,000.

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
