We're looking for a Director & Assistant General Counsel, Strategic Transactions and Corporate to join Procore's Legal, Regulatory & Compliance (LRC) Department. In this new role, you'll work with stakeholders across the organization to provide practical legal advice and negotiate and execute on a broad range of M&A, corporate venture, capital markets, and other strategic transactions. You will be the legal architect and lead for our corporate development initiatives, driving transactions from inception to closing and beyond. To succeed in this role, you'll need to show up as a trusted advisor and strategic thought partner who is committed to delivering practical, business-centric advice while simultaneously mitigating and managing broad organizational risk. You will demonstrate deep, advanced subject matter expertise, exceptional deal execution and project management skills with strong attention to detail, effective stakeholder coordination, and a focus on achieving business objectives efficiently and successfully. This role offers significant Executive-level visibility, driving legal strategy for the company's highest priority initiatives.

As a Director & Assistant General Counsel, Strategic Transactions and Corporate, you'll partner with and advise global cross-functional teams, including Corporate Development, Investor Relations, Financial Reporting, Accounting, Tax, and Treasury teams on a range of transactions and other corporate legal projects. This role is an exciting new position that will play an important role in Procore's continued growth and success.

This position reports to Procore's Vice President & Associate General Counsel, Corporate, Securities & M&A. This role can be based in Procore's Austin, TX office or one of our other U.S.-based office locations, or for the right candidate may be remote. We're looking for someone to join us immediately.

What You'll Do:

  • Be the legal lead for Procore's activities on all strategic transactions, including M&A, corporate venture investments, capital markets and other corporate financing transactions, and related workstreams

  • Work with a variety of LRC Department and cross-functional stakeholders on all matters related to our strategic transactions, from inception through deal execution, including SEC disclosures (encompassing registration and periodic filings), and post-closing integration and other workstreams

  • Serve as a key legal advisor to Executives on the company's most strategic, high-visibility matters, aligning legal strategy with long-term corporate growth objectives and translating complex legal risks into clear, actionable, commercial business recommendations to guide critical senior-level corporate decision-making

  • Establish appropriate, tech-forward operational frameworks, processes, and systems in areas of coverage that enable the company to grow and scale effectively

  • Provide advice and counsel to business team leaders on legal matters affecting areas of coverage, in consultation with other members of the LRC Department and outside counsel as necessary

  • Manage outside counsel budgets and performance, ensuring high-quality, cost-effective legal representation across complex transactions and capital markets initiatives

  • Stay informed and advise on impacts of relevant, new and proposed regulations, antitrust and global competition law developments, and SaaS, cloud computing, and industry trends and best practices applicable to your areas of responsibility in the markets in which we operate

  • Lead and execute various special projects and strategic initiatives on behalf of the LRC Department, such as our international expansion efforts, managing complex, cross-functional initiatives to deliver successful business outcomes

What We're Looking For:

  • 12+ years of relevant experience, including extensive M&A, venture and general corporate experience, gained at a nationally prominent law firm(s) and in-house legal department(s) (ideally at a SaaS or other technology company) in roles of increasing responsibility

  • Highly agile, results-oriented, solution-minded, tenacious, resilient self-starter and creative problem-solver with ability to manage shifting client demands and priorities in a fast-paced, global, high growth environment

  • Detail-oriented, organized, efficient, and resourceful with exceptional follow-through skills

  • Clear communicator able to explain complex concepts simply in a manner that resonates with business stakeholders and who enjoys educating and thought-partnering with others

  • Exceptional business acumen, judgment, and discretion in dealing with highly sensitive information

  • Functional knowledge of public company accounting and corporate finance and tax matters, processes, terminology, systems, and issues, including facility with financial statements and GAAP and non-GAAP accounting

  • Passionate about technology, including AI, and energized by the challenges of serving a dynamic, high growth company at scale

  • Must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located

  • Outstanding interpersonal skills and demonstrated ability to navigate a dynamic workplace to identify and collaborate with key stakeholders, influence without direct authority, and interface effectively with all business functions and levels to drive business initiatives

  • Demonstrated track record of motivating and influencing both internal and external stakeholders and success in executing in a fast-paced, rapidly growing global sales environment

  • Experience or strong interest in leveraging AI technologies (such as Google Gemini, NotebookLM, and Harvey) to amplify your reach, recapture bandwidth, and enhance productivity

Additional Information

Base Pay Range:

228,800.00 - 314,600.00 USD Annual

This role may also be eligible for Equity Compensation and/or Bonus Incentive Compensation. Procore is committed to offering competitive, fair, and commensurate compensation. Actual compensation will be based on a candidate's job-related skills, experience, education or training, and location.
