Job Description




Allied Universal is hiring a Senior Counsel, Government and Commercial Contracts. The Senior Legal Counsel - Government and Commercial Contracts is responsible for supporting the Legal Services Group and various lines of business within the organization with a primary focus on federal, state and local government contracting matters. This role provides legal advice and strategic guidance on a wide range of contractual issues, including customer, vendor, partner agreements, across multiple business lines, as well as procurement issues, government compliance and audit support. The Senior Legal Counsel - Government and Commercial Contracts exercises independent judgment and discretion to support business objectives while managing legal and contractual risk. Occasional overnight travel to attend meetings, deliver trainings, or support business initiatives is expected. This Senior Counsel role is based in Conshohocken, Pennsylvania.

RESPONSIBILITIES:

    Use independent judgment and discretion to draft, review, interpret, and negotiate a wide variety of complex government contracts, including customer agreements, master services agreements, amendments, requests for proposals, and related transactional documents
  • Provide strategic legal advice to business partners on contractual risk, deal structure, and negotiation strategy in support of business objectives
  • Identify, assess, and mitigate contractual, regulatory, and operational risks within government transactions
  • Review, assess, and respond to government audits and cure notices, as well as manage bid protests
  • Develop and assist in formalizing and improving internal contracting processes, templates, playbooks, and approval workflows to enhance efficiency, consistency, and compliance
  • Partner closely with sales, operations, finance, procurement, and other internal stakeholders to support commercial initiatives and resolve contract-related issues
  • Develop strategic responses to complex issues arising from customer relationships, including contractual interpretation and performance matters
  • Advise business contacts on compliance with company legal policies, procedures, and contracting standards
  • Develop and deliver training on contracting best practices, legal risk awareness, and relevant legal developments
  • Perform other transactional, legal, and regulatory duties as needed, including commercial contracts, supporting mergers, acquisitions, integrations, and other strategic initiatives

QUALIFICATIONS (MUST HAVE):

  • Law degree from an accredited law school
  • Minimum of five (5) years of governmental contracting experience
  • Strong knowledge of contract law and experience negotiating complex government and commercial contracts
  • Ability to read, understand, analyze, and clearly communicate contractual terms, legal risks, and practical solutions
  • Excellent oral and written communication skills
  • Ability to successfully interact at all levels of the organization, including senior leadership, internal clients, and external counsel
  • Demonstrated ability to exercise sound judgment and manage multiple competing priorities in a fastpaced environment
  • Strong organizational and analytical skills, including attention to detail and a selfdriven, problemsolving mindset
  • Proficiency working in Outlook, Excel, Word, SharePoint, and OneDrive platforms
  • Ability to drive deliverables and influence both internal and external stakeholders in a collaborative team setting

PREFERRED QUALIFICATIONS (NICE TO HAVE):

  • Admission to the bar in any jurisdiction
  • Experience supporting highvolume or complex governmental contracting environments
  • Experience handling government audits, government contract compliance and government procurement
  • Prior experience in the security industry or another highly regulated industry
  • Experience developing contract templates, negotiation playbooks, or process improvements
  • Project management or Smartsheet experience
