Job Description




Allied Universal is hiring a Senior Counsel, Enhanced Protection Services. The Senior Counsel is responsible for supporting the Legal Services Group and the Allied Universal Enhanced Protection Services (EPS) division. This team member will work out of the organization's eastern corporate headquarters and will report to the Vice President, Associate General Counsel.

RESPONSIBILITIES:

    Serve as primary legal advisor to the EPS executive team and provide clear, strategic legal guidance and practical, risk-based solutions aligned with business objectives
  • Partner closely with sales, operations, finance, procurement, operations, and other internal stakeholders to support business initiatives, resolve contract-related issues, and address legal matters
  • Supervise Associate Counsel responsible primarily for drafting, reviewing, and negotiating commercial contracts and related transactional documents and ensure appropriate issue-spotting and escalation, and maintain quality, consistency, and compliance with company standards and processes
  • Lead and manage federal, state, and local government contracting matters, including drafting, reviewing, interpreting, and negotiating customer agreements, modifications and related transactional documents and procurement processes
  • Identify, assess, and mitigate contractual, regulatory, and operational risks within transactions
  • Support compliance program activities for EPS and advise on compliance matters impacting EPS operations
  • Advise on privacy and data protection considerations, including incident response support and privacy reviews
  • Review, assess, and respond to government audits, cure notices, and related compliance inquiries; manage and coordinate responses to bid protests as applicable.
  • Lead and administer SAFETY Act designations for EPS and the overall company
  • Assist with resolution of customer, subcontractor, and vendor disputes, ensuring outcomes that support both compliance and business priorities
  • Administer internal policies, procedures, and training programs; develop and deliver training on best practices, legal risk awareness, and relevant legal and compliance developments
  • Support EPS transactions and strategic initiatives, including mergers and acquisitions and integrations
  • Manage outside counsel and other external advisors, including budget awareness and matter oversight

QUALIFICATIONS (MUST HAVE):

  • Law degree from an accredited law school and admission to the bar in any jurisdiction
  • Minimum of ten (10) years of legal experience, including contract negotiation, corporate law, and regulatory compliance
  • Experience advising senior leadership and managing legal and contractual risk in a fast-paced, deadline-drive environment
  • Demonstrated supervisory experience in mentoring, reviewing work product, and managing workflows
  • Excellent written and verbal communication skills with the ability to engage effectively with company management, internal clients, external counsel, regulatory bodies, customers, and government officials on laws, regulations, rulings, contract terms, and interpretive guidance, while maintaining a collaborative, team-oriented approach
  • Strong ability to provide risk assessment and mitigation support and to drive deliverables by influencing both internal and external stakeholders
  • Experience working in Outlook, Excel, Word, SharePoint, OneDrive platforms
  • Proven ability to take initiative and effectively manage multiple competing priorities and deadlines in a fast-paced, deadline-driven environment
  • Strong organizational and analytical skills, including attention to detail and a self-driven, problem-solving mindset

PREFERRED QUALIFICATIONS (NICE TO HAVE):

  • Prior experience in the security, consulting and investigative industry or other regulated industry
  • Former military or law enforcement experience
