The Securian Financial Law Department seeks an attorney to join its Corporate Legal Services Team, comprised of lawyers, paralegals, and compliance professionals. As a part of this team, you will help support the corporate legal needs of Securian Financial and its affiliates throughout the U.S. and Canada. You will focus primarily on mergers, acquisitions, strategic investments, and corporate governance, as well as monitoring new or changed laws and regulations and analyzing their impacts on company policies and business lines. The successful candidate will bring a strong background of corporate legal experience and a pragmatic, client-oriented approach to legal practice.

What you'll do:
  • Provide "first chair" support for mergers, acquisitions, strategic investments, private equity investments, and related special projects for Securian Financial and its affiliates (e.g., due diligence, drafting term sheets and letters of intent, preparing transaction documents, preparing regulatory filings/approvals), coordinating with other in-house attorneys and managing outside counsel as needed.
  • Provide counsel and recommendations to senior management on transactions and strategic corporate legal matters.
  • Develop and implement enterprise corporate governance best practices, serving as a subject matter expert and resource for affiliates with questions relating to operational and formation documents, board approvals, executive authority, corporate secretarial duties, etc.
  • Review and analyze new or changed laws and regulations to assess impacts on company policies and business operations, providing actionable legal advice to ensure compliance and alignment with strategic objectives.
  • Implement AI-powered tools and evolve legal and business processes to incorporate AI-powered tools, driving efficiency and innovation in the delivery of corporate legal services.
  • Lead cross-functional legal projects and mentor junior Law Department staff.
  • Perform other corporate legal functions as needed.
What we're looking for:
  • J.D. from an accredited law school, licensed and in good standing to practice law in Minnesota.
  • 5+ years of corporate and/or transactional law experience in a law firm or in-house setting, with specific experience in mergers and acquisitions and corporate governance for privately held companies.
  • Strong negotiation and drafting skills, with an exceptional capacity for critical thinking and problem-solving.
  • Proactive communication skills with a strong ability to translate complex topics for multiple audiences (e.g., executive leaders, management, regulators, clients, and internal business partners).
  • Versatility, maturity, and ability to work both independently and as part of a team, particularly in a collaborative environment, to organize, plan, prioritize, and complete multiple projects with competing deadlines.
  • Commitment to delivering excellent client service and supporting business partners in achieving their goals.
  • Strong inclination for continuous learning and self-improvement.
Preferred additional qualifications:
  • Previous insurance industry experience.
  • Experience with private equity, private placements, reinsurance transactions, or restructuring/workout transactions.
  • Experienced with process improvement, agile work style, and adaptability to new technologies.

The estimated base pay range for this job is $138,500 - $205,500. Pay may vary depending on job-related factors and individual experience, skills, knowledge, etc. This job may also be eligible for a performance-based incentive program. More information will be provided during the hiring process and can be discussed with a member of the Securian Financial Talent Acquisition team.
