The impact you'll make

As a Director and Corporate Counsel at Lam Research, you will play a key role in supporting securities, corporate governance, finance, and executive compensation matters (including support for the board of directors and its committees), as well as subsidiary management, and will provide timely and effective legal advice to critical business functions, including Investor Relations, Corporate Communications, Treasury, and Human Resources. Your expertise will ensure that the company navigates complex legal landscapes effectively, mitigates risks, and supports strategic business initiatives. You will be a key partner to the legal leadership team and the executive leadership team, especially in the U.S., providing legal insights and recommendations that will influence the company's growth and operational integrity.

What you'll do
  • Support the Company Secretary and the VP of Corporate Legal in all aspects of securities law compliance and corporate governance, including in advising the Board of Directors and its committees, advising the Company's executive leadership, and advising on compliance with Delaware corporate law, the Company's governing documents, the U.S. federal securities laws and related rules, Nasdaq listing standards, and other legal requirements.
  • Lead, and be primarily responsible for, the drafting, preparation and review of SEC filings, including proxy statements and current reports, registration statements, and other securities filings, in coordination with other business units, outside counsel, and internal stakeholders.
  • Oversee Lam's global subsidiary management and governance, and work with the subsidiary governance paralegal, regional counsel, outside counsel and internal stakeholders to support domestic and foreign subsidiaries, their boards of directors and officers, including in subsidiary formation, integrations, mergers, and other special transactions.
  • Support the Company's Investor Relations and Communications functions, including by reviewing and providing advice on press releases, presentations, and other external communications.
  • Advise executive leadership, Human Resources, and the Company's Compensation and Human Resources Committee on equity plan, executive compensation and stock administration matters.
  • Support the Company's Treasury function in treasury transactions, including public and private securities offerings, credit agreements, and share repurchase transactions.
  • Support the Company's Human Resources function with legal advice regarding compliance and governance pertaining to compensation and benefit programs.
  • Interpret, review and maintain the Company's key governance documents, including its certificate of incorporation, bylaws, corporate governance guidelines, and the charters of the board's standing committees.
  • Prepare materials and draft minutes for board of directors, committee and stockholder meetings.
  • Maintain current knowledge of developments in corporate governance, SEC regulations, stockholder voting policies and the policies of proxy advisory firms.
  • Draft, revise, interpret, and provide training on corporate policies, including those pertaining to insider trading and executive and director compensation.
  • From time to time, this position may also involve supporting the Company's Corporate Development function in negotiating and executing complex transactions such as acquisitions and investments, including selecting and overseeing outside counsel, carrying out due diligence, participating in the drafting and negotiation of strategic agreements, and participating in the integration of acquired businesses.
  • Provide timely and effective legal advice on a wide variety of corporate and commercial legal issues.
  • Manage outside attorneys and drive performance to corporate objectives.
  • Provide strategic support and partnership to various corporate functions, including Accounting, Communications, Human Resources, Treasury and Corporate Development.
  • Provide timely and effective legal advice on a wide variety of corporate legal issues.
Who we're looking for
  • Juris Doctor (JD) degree from a well-regarded law school and state bar membership, with the ability to practice in California as an in house counsel.
  • 10+ years of experience as a corporate and securities attorney, including experience with a top law firm.
  • Good judgment, excellent attention to detail and high standards for work product.
  • Excellent written and oral English-language skills.
  • Detailed knowledge and understanding of securities laws and regulations, Nasdaq rules, and Delaware corporate law.
  • Ability to work independently with limited supervision, to influence and collaborate with stakeholders at all levels, and to collaborate successfully with other business groups to achieve corporate objectives.
  • A creative approach to problem solving, willingness and desire to learn, and demonstrated ability to take initiative.
  • Ability to prioritize competing demands, meet deadlines, and work proactively and efficiently,
Preferred qualifications
  • Experience in the semiconductor industry or a high-tech manufacturing environment.

Lam offers a variety of work location models based on the needs of each role. Our hybrid roles combine the benefits of on-site collaboration with colleagues and the flexibility to work remotely and fall into two categories - On-site Flex and Virtual Flex. 'On-site Flex' you'll work 3+ days per week on-site at a Lam or customer/supplier location, with the opportunity to work remotely for the balance of the week. 'Virtual Flex' you'll work 1-2 days per week on-site at a Lam or customer/supplier location, and remotely the rest of the time.

Salary

CA San Francisco Bay Area Salary Range for this position: $171,000.00 -$316,000.00.

The above salary range for this position is relevant to applicants that reside or work onsite in the California, San Francisco Bay Area only. Salary offers will depend on factors that include the location you work from, your level, education, training, specific skills, years of experience and comparison to other employees already in this role. Actual salary may vary from salary offered due to numerous factors including but not limited to unpaid time off, unpaid leave, company mandated shutdown, and other relevant factors.
