Paralegal Atlanta, GA - Chamblee location JOB SUMMARY: The Paralegal serves as a strategic legal team member to D4C Dental Brands ("D4C") and the affiliated dental practices it supports. The Paralegal is responsible for supporting collaboration across multiple business groups and practice areas, and providing actionable and practical legal assistance to help advance the organization. The Paralegal will be responsible for by providing efficient and effective legal assistance in addressing a wide range of corporate, transactional, and commercial matters that affect day-to-day business operations, including drafting, negotiating, and interpreting M&A-related materials and commercial contracts, as well as managing a variety of employment, regulatory, corporate governance, compliance, and litigation matters. This position requires strong legal knowledge, organizational skills, attention to detail, and the ability to work independently and as part of a team. This support is crucial to the delivery of the Company's mission of serving our communities by delivering exceptional, specialty-led dental care to children and their families. EDUCATION/CREDENTIALS/EXPERIENCE:
- Bachelor's degree in Paralegal Studies, or a related field or an Associate's degree, with a preference for a Paralegal certificate from an ABA-approved program.
- 3-5 years at a law firm or in-house regarding healthcare regulatory or compliance law.
- Prior healthcare and multi-location service provider experience preferred.
- Familiarity with an enterprise contract management system required, Lexion experience preferred.

MAJOR DUTIES AND RESPONSIBILITIES:
- Assist legal counsel and report on a broad range of day-to-day operational legal topics, including commercial transactions, contract negotiations, operational efficiencies and general business matters.
- Stay informed of industry-specific regulations and compliance matters and assists in developing and maintaining appropriate risk management strategies for the Company.
- Help maintain and organize books and records and other corporate governance materials for the Company and its affiliated legal entities.
- Coordinate negotiation and administration of real estate leases and renewals.
- Develop strong relationships with internal contacts to ensure high service level and anticipate business needs.
- Manage risk, compliance and disputes for the business by providing advice on legal and regulatory issues (in particular in relation to healthcare compliance, privacy, and dental industry-specific rules and regulations) and managing disputes and litigation.
- Drafting, negotiating and reviewing employment contracts and M&A-related materials (e.g., redline transaction documents, letters of intent, and term sheets).
- Assist in developing and maintain best practices regarding D4C's contract and business transaction-related processes.
- Supporting the development and management of the Company's compliance program.
- Assist with establishing and continuously improving departmental systems, policies and processes within the Legal Department.
- Perform other responsibilities and special projects in support of the Legal team's goals and initiatives.
