Job Purpose

The Corporate Paralegal will primarily provide support to in-house attorneys on a broad range of legal matters, including but not limited to: corporate governance, invoice processing, subpoenas and requests for information, litigation support, intellectual property maintenance, contract reviews, legal research, compliance, and day-to-day matter management. This individual will also directly support other members of the business Leadership Team in administrative tasks.

This is a hybrid role based out of Northbrook, IL.


Key Accountabilities

Corporate Governance:
Maintain and file corporate records, including resolutions, board of director changes, annual reports, etc in a timely manner.; coordinate and receive board and committee signatures for documents and materials; maintain accurate, up-to-date minute books; create documents related to new corporate entity formations; assist with maintenance of state/provincial registrations in the US and Canada.

Mergers and Acquisitions:
Provide administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions

Compliance and Regulatory:
Produce documents related to the development and implementation of corporate policies and templates

Contract Management:
Provide contract support for standard corporate agreements, such as releases, non-disclosure, marketing, and independent contractor agreements, and assist with template creation on an as-needed basis.

Intellectual Property:
Assist in maintenance of the intellectual property portfolio.

Administrative Support:
Maintain/manage the master calendar for select members of the Leadership Team; coordinate travel arrangements; process invoices, including setting up new vendors; report accruals; reconcile expenses using Concur; coordinate in person team meetings, outings, and special events, including catering; Interact professionally with internal (senior leadership, finance team members, etc.) and external (outside counsel, vendors, customers, etc.).


Desired Skills and Background

* Associate degree in Paralegal Studies or Paralegal Certificate (Bachelor's degree is preferred);
* Minimum of 5 years paralegal experience with at least 3 years' experience in an in-house corporate law department;
* Demonstrated experience collaborating with cross-functional and/or international colleagues.
* Strong organizational, analytical, time management, interpersonal, communication, legal research, and writing skills;
* Strong working knowledge of MS 365, especially PowerPoint and Excel (experience creating and/or administering a SharePoint site a plus);
* Experience in implementing and/or utilizing contract management software a plus;
* Proficiency in Westlaw or Lexis and legal database software a plus;
* Experience in a consumer packaged goods (CPG) environment is desirable.

As of the date of this posting, the estimated pay range for this role is $70k-$78k plus eligibility to participate in the annual discretionary bonus plan. The actual pay for the position will be determined by various factors, including but not limited to job-related experience, skills, education, location, and internal equity. This range may be subject to change over time.
