Senior Counsel - Corporate Securities and Governance

This role will support and assist the Chief Legal and Administrative Officer and Deputy General Counsel on securities law and corporate governance matters and support the Company's SEC reporting and corporate governance functions.

Job Duties and Responsibilities:

  • Assist with the preparation of SEC filings, including Forms 10-K, 10-Q, and 8-K
  • Ensure Section 16 compliance, including preparation of Section 16 filings
  • Assist with capital markets and related financing transactions
  • Advise on applicable corporate governance matters, including SOX, Dodd-Frank, Nasdaq regulations and Delaware law
  • Preparing materials associated with annual stockholder meetings, including proxy statements and related documentation
  • Stay current on external governance trends and SEC and Nasdaq developments

Required Qualifications:

  • Juris Doctorate degree
  • Active Member in good standing with the Texas Bar
  • At least 5+ years of relevant SEC reporting and securities law compliance and advisory work, either in-house with a public company or with AmLaw 100 law firm
  • In-depth knowledge of corporate and securities law (particularly SEC/Nasdaq rules and regulations).
  • Ability to professionally manage confidential information.
  • Highly organized and able to work both independently and as a member of a team.
  • Strong business acumen and ability to advise on business-related legal issues and understand business consequences of legal advice.
  • Excellent written and verbal communication skills, attention to detail, good business judgment and the ability to handle multiple projects at one time. Preferred Qualifications:
  • Prior relevant industry experience is a plus.
