Overview

Orrick currently has an excellent opportunity for a Paralegal in the Boston, San Francisco or New York office.

What will you do? As a Capital Markets Group Paralegal, you will support the delivery of quality legal services to clients by performing technical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency.


Responsibilities

As a Capital Markets Paralegal, you will do the following:

  • Manage complex projects independently under limited supervision
  • Maintain confidential client information; improve workflow regarding storage and recall of materials
  • Oversee IPO transaction tasks, including: draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits
  • Create and proofread agreements for content, accuracy and format
  • Prepare deal documents, including: disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements
  • Provide pre-closing, closing and post-closing assistance
  • Conduct non-legal and legal research; perform due-diligence
  • Prepare correspondence, audit letters responses, working group lists and closing checklists

Qualifications

  • Bachelor's Degree required
  • 3+ years of Corporate Paralegal experience
  • Microsoft Office proficiency (Outlook, Excel, PowerPoint)
  • Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.
  • Experience in IPO and public company matters, including registration statement numerical backup spreadsheets, beneficial ownership tables, '34 act, Section 16 reporting, Rule 144 and legend removal letters, transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters, closing documents, closing volumes and board resolutions and minutes.
  • Great communication skills written and verbal
  • Strong organizational and time management skills to handle multiple projects and deadlines.
  • Understanding of corporate and securities law, including SEC regulations.
  • Ability to conduct thorough legal and factual research.
  • Ability to work accurately and meticulously, ensuring the accuracy of documents and filings.
  • Prior experience in a legal or financial setting, particularly in capital markets or corporate finance, is preferred.

California Requirements: In the California offices, paralegals must meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.

Compensation and Benefits

The expected salary range for this position is between

  • California Major Markets* $64,000 - $100,000
  • New York City $64,000 - $100,000
  • National $61,000 - $95,000

* California Major Markets includes San Francisco, Silicon Valley, Los Angeles, Orange County, Santa Monica. All other California locations fall within National range.

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
