Summary of Position Provides support to General Counsel (GC) and Associate General Counsel (AGC) to assist in the successful operation of the legal functions of JobsOhio and its affiliate, JobsOhio Beverage System (JOBS).JobsOhio's Corporate Transactions Counsel will do this by developing, preparing, and maintaining agreements and other documentation as required. Duties and Responsibilities
- Draft, analyze, and negotiatea broad range of commercial documents and contracts such asindependent contractor and other consulting agreements, license agreements, event services/management agreements, vendor agreements, marketing, IT and training agreements, operations-related agreements, liability waivers, NDAs, corporate-governance documents, and other types of non-program agreements and legal documents as needed and directed by the GC and/or AGC.
- Assist the GC, the AGC, and the organization's Project staff in conducting legal due diligence, drafting and negotiating grant and loan agreements, amendments, and modifications.
- Work alongside and advise business staff of the organization on legal issues and risks relating to the development and negotiation of agreements with domestic and international licensees, organizations, service providers, and other parties.
- Act at the direction of the GC and AGC as a liaison among various internal departments and outside clients and stakeholders.
- Support the continuous improvement of standard form agreements and legal department processesin coordination with the GC, AGC, and Legal Operations Manager (LOM).
- Perform legal, factual, and records research and review at the direction of General Counsel and/or AGC, and monitor new and updated laws and regulations
- Assist in accomplishing organizational goals for the Legal function by accepting ownership of tasks and successfully meeting objectives.
- Explore avenues and /or opportunities to add strategic value to the organization by proactively developing possible solutions when trends due to volume or repetitive activities prove a need to rework processes to improve efficiency.
- Maintain continued education to remain current with trends in the legal field appropriate to the mission of the companies.
- Work with the LOM and/or Paralegal to ensure internal compliance with company contract processes, procedures, and the maintenance of all program and non-program agreements within the JobsOhio CRM and related document repositories of the organization.
Experience Requirements
- Candidates must be an active practicing attorney with the following skills, attributes and experience required:
- 4-6 years of experience incommercial transactions andcorporate/business law (whether in-house, or as an associate at a mid- or large-size law firm)
- Friendly, courteous, professional, outgoing, business-minded yet customer-service oriented.
- Ability to clearly, concisely, and comprehensively draft complex concepts, provisions, and deal structures into contracts
- Demonstrated ability to maintain the utmost level of discretion and confidentiality of sensitive and highly confidential information
- Strong writing, negotiating, and other communication skills, with the ability to summarize and organize information
- Demonstrated experience in exercising sound judgment
- Research, analytical and critical thinking skills
- Attention to detail and accuracy
- Ability to apply complex legal strategy to the specific needs and requirements of customers and/or stakeholders.
- Ability to mentor, train, and/or educate internal associates and customers to understand the processes, guidelines, and requirements needed by JobsOhio to execute and manage a document once approved by legal.
- Ability to collaborate, communicate, and work effectively in teams.
- Ability to take initiative and work independently and productively with very little oversight.
- Strong ability to prioritize and comfortably shift priorities when necessary.
Desired Knowledge, Skills and Abilities:
- Experience with commercial loan, consulting, and vendor transactions
- Knowledge and experience with nonprofit organizations
- Experience within a corporate legal department
- Experience with contract life cycle management tools and related best practices
- Knowledge of Salesforce or other cloud-based CRMs
- Experience handling corporate governance matters
- Comfortable making suggestions to improve and create processes that add value to the organization, current processes and clients.
- Strong communications and interpersonal skills with an ability to adapt communications skills to a variety of levels and industries.
Education Requirements
- Juris Doctorate degree with strong academic credentials, and a current license to practice law within the United States, preferably in Ohio, are required.
