About the Job:

The Attorney is responsible for providing legal services and counsel with respect to a wide range of matters encompassing all facets of corporate law, including contracts, real estate leases and licenses, mergers and acquisitions, and regulatory matters. The Attorney also oversees and manages external counsel, providing legal guidance to the Company's management and employees at all levels, from the corporate office to operational divisions. The Attorney will also support the Company's Procurement and IT function, offering advice on matters such as master service agreements, supply agreements, data privacy, data security, and other legal matters related to procurement and information technology.

What You'll Do:



  • Provide strategic legal advice: Counsel and advise internal clients on a wide range of legal matters, including contract negotiation and drafting, intellectual property, data privacy, cybersecurity, regulatory compliance, and mergers and acquisitions.
  • Draft and negotiate agreements: Prepare and review a variety of complex agreements, including master supply agreements, service agreements, purchasing contracts, IT contracts, software licenses, cloud computing agreements, data processing agreements, and cybersecurity vendor contracts, as well as sales contracts, purchase orders, real estate agreements, and other commercial contracts.
  • Manage IT and cybersecurity risks: Provide legal guidance on data privacy laws and regulations (e.g., CCPA, GDPR), cybersecurity incident response planning, and data breach notification protocols.
  • Support division operations: Provide direct legal support to Vulcan's operational divisions, advising on legal matters related to production, sales, environmental compliance, land use, and community relations.
  • Conduct legal research and analysis: Stay abreast of legal developments and industry best practices in IT, cybersecurity, and corporate law, as well as legal issues specific to the aggregates industry.
  • Manage outside counsel: Supervise and collaborate with outside counsel on specialized legal matters, ensuring cost-effective and efficient representation.

Qualifications

Skills You'll Need:

Education: J.D. from an ABA-accredited law school with exceptional academic performance.

Experience:



  • 5+ years experience as a practicing corporate attorney, including broad-based experience dealing with information technology, information services, data privacy, data security, and general corporate law matters, such as contracts, mergers and acquisitions, real estate, and related regulatory work.
  • Highly skilled in oral and written communications and negotiations, with the ability to simply and clearly communicate complex ideas and concepts to multiple audiences.
  • Must have the ability to thoroughly analyze legal and factual issues and arrive at sound conclusions.
  • Excellent problem-solving and decision-making skills.
  • Ability to quickly develop trust and credibility due to interpersonal and listening skills.
  • Effectively establishes and maintains highly effective working relationships with all levels of the organization and with outside parties.
  • Ability to organize and manage a heavy and diverse workload, including multiple tasks, priorities, deadlines, and shifting client requirements.
  • Approachable, with the ability to provide straightforward information and advice to internal clients, while maintaining the professionalism and respect required to provide legal guidance to employees at all levels.
  • Self-managed, requiring minimal supervision to accomplish goals.
