Purpose:

We are looking for a talented and experienced attorney to join our team and provide leadership on a wide range of corporate, securities, and governance matters. The role would report directly to NRG's VP, Deputy General Counsel & Corporate Secretary. The responsibilities will include all securities matters for a publicly traded company, including ensuring compliance with SEC and NYSE rules and regulations; preparing and reviewing SEC filings; assisting with matters related to the board of directors; and advising on corporate governance, investor relations, executive compensation, and M&A transactions.

Position Type:

  • Hybrid (Requires you to be onsite 4 days per week)
  • This position may be filled in Princeton, NJ or Houston, TX; strong preference for Princeton, NJ
  • Travel required 4-5 times per year

Responsibilities:

Securities and Corporate Governance

  • Ensure compliance with federal and state securities laws, with focus on '34 Act and '33 Act reporting, NYSE compliance, Regulation FD and insider trading.
  • Prepare and/or review all SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statement and section 16 filings as well as registration statements.
  • Maintain governance policies and practices, including corporate governance guidelines, committee charters and other governing documents.
  • Provide corporate secretarial support, including preparing materials for board and committee meetings.
  • Assist with the preparation and planning for the annual stockholder meeting and shareholder engagements.

Investor Relations and Executive Compensation

  • Review, advise and assist with quarterly earnings releases, investor presentations, quarterly and annual reports, sustainability reports and other external communications.
  • Advise on all executive compensation activities, and maintain and update form equity award agreements as well as other related activities .
  • Support the Total Rewards team in their administration of employee compensation benefits programs.

Mergers & Acquisitions

  • Assist with legal support for M&A transactions, including drafting and negotiating non-disclosure agreements, engagement letters, asset and stock purchase agreements and other partnership agreements and participating in due diligence.

Other

  • Collaborate with, advise and support a broad range of departments and functions, including finance, accounting, tax, internal audit and others as necessary. Assist with other legal matters, including subsidiary management, credit agreements and capital markets transactions, contract administration, and Sarbanes Oxley compliance.
  • Perform additional functions and projects as assigned.

Qualifications:

  • Juris Doctorate with 6+ years of experience in a nationally recognized law firm or in house legal department; minimum of 4+ years advising on public company securities law matters. Candidate may be hired as Senior Counsel or Assistant General Counsel, depending on experience and qualifications.
  • Membership in good standing in a state bar with no prior suspensions or disciplinary history.
  • Demonstrated analytical and problem-solving skills, and ability to communicate (verbally and written) with all levels of internal and external customers.
  • Exceptional attention to detail and excellent planning and organizational skills; Ability to set priorities and to respond to changing demands from multiple sources.
  • Ability to maintain confidentiality.
  • Proficiency with word processing software (Windows based Word), creating and manipulating spreadsheets (Excel) and power point presentations.
